TABALINK: The Tansley - Babadag Association
Constitution

1. Name
The name of the Association shall be:
"The Tansley - Babadag Association: TABALINK".
2. Objects
The Association shall exist:
- to promote friendship and understanding between the people of the village of Tansley, and the wider area of Derbyshire, England; and the people of the town of Babadag and the surrounding area of Tulcea, Eastern Romania.
- to build links between the peoples of the communities concerned in all possible ways - educational, cultural and commercial.
- to stimulate and foster mutual exchanges between individuals, families and societies within the communities.
- to organize social and fund raising events and activities to support the objects of the Association.
3. Rules
- Membership Membership shall be open to any person wishing to join the Assocation and who supports the objects of the Association.
- Subscription The subscription of a sum decided by the Committee and agreed by the membership at an Annual General Meeting shall be payable annually.
- Committee The Committee of the Association shall consist of a Chairperson, Vice- chairperson, Secretary and Treasurer, together with between two and for other members; all to be elected annually at an Annual General Meeting. All retiring members of the Committee shall be eligible for re-election. The Chairperson may not hold office for more than three years consecutively. The Committee shall meet on a minimum of four occasions per year. A meeting of the Committee shall be quorate if 50% of its membership is present.
- Duties of Office -
- The Chairperson shall conduct all meetings of the Committee and with the Secretary arrange such meetings. (S)he shall preside at all meetings of the Association.
- The Vice-chairperson shall act for the Chairperson in the absence of the latter.
- The Secretary shall notify all members of the Committee of all meetings within a reasonable time. (S)he shall inform all members of the Association of all Association activities, and deal with all administrative arrangements for those activities. (S)he shall prepare, with the Chairperson's agreement, an agenda for all Committee meetings and for General/Annual General Meetings; and keep a record and prepare minutes of such meetings. (S)he shall deal with all correspondence and keep the Chairperson informed at all times.
- The Treasurer shall receive and pay out all moneys due to or payable by the Association. (S)he shall produce to the Committee at each meeting a financial statement. The Association's financial year shall run from 1st January - 31st December, and the Treasurer shall prepare and present to the Association at its Annual General Meeting an audited statement of the accounts for the preceding financial year.
- Bank Accounts The Association's funds shall be kept in a Bank/Building Society Account or Accounts, Credit or Deposit. Decisions to open or close accounts shall be taken at a General Meeting of the Association. Signatories on the Accounts shall be the Treasurer in office at any given time, together with one of either the Chairperson or Secretary; but transfers between Accounts in the same bank or financial institution may be effected by one signature only.
- Voting Each member of the Association shall have one vote and a vote may be taken at any meeting only if that meeting is quorate. The Chairperson of the Association shall have one vote to be used only in the event of an equality of votes.
- Meetings There shall be one Annual General Meeting of the Association in February/ March each year in a place and at a time arranged by the committee. All subscribing members shall receive at least two weeks notice of the meeting. Other General Meetings shall be called as required. General Meetings shall be quorate if at least ten subscribing members are present.
- Alterations to Rules Rules shall only be made, altered or repealed at an Annual General Meeting or at a Special General Meeting called for that purpose. Members must receive notice of the proposed alteration with the notice of the meeting.Decisions will be made according to the majority vote of those present.
- Dissolution of the Association In the event of the dissolution of the Association, all surplus funds shall be transferred to such charity or charities as the Committee in its absolute discretion decide.
